Terms of Service

1. Acceptance of Terms

By accessing or using Appraisal Vault (the "Service"), operated by Auto Leads Systems Ltd. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Consent and Privacy

By creating an account, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. You may withdraw your consent at any time by contacting our Privacy Officer at privacy@appraisal-vault.com, though this may affect your ability to use certain features of the Service.

3. Description of Service

Appraisal Vault is a vehicle appraisal management platform for automotive dealerships. The Service includes a mobile application (iOS and Android), a web-based portal, and optional AI-powered pricing features. The Service allows users to create, manage, and share vehicle appraisals within their dealership team and with partner dealerships.

4. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that all users invited to your dealership comply with these terms

Dealership owners are responsible for managing team member access, roles, and seat allocations within their organization.

5. Subscriptions and Payment

Pricing

The Service is offered on a per-seat, per-month subscription basis. The AI Appraisal add-on is offered at a flat monthly rate. Current pricing is displayed on our website and during signup. We reserve the right to change pricing with 30 days' notice.

Free Trial

New accounts receive a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be billed.

Billing

Subscriptions are billed monthly through Stripe. You authorize us to charge your payment method on file for all applicable fees. Failed payments may result in suspension of Service access.

Cancellation

You may cancel your subscription at any time from the Billing page. Upon cancellation, you retain access until the end of your current billing period. We do not offer refunds for partial months.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious content, viruses, or harmful code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Scrape, harvest, or collect data from the Service by automated means
• Resell, sublicense, or redistribute access to the Service
• Upload false, misleading, or fraudulent appraisal data
• Use the Service to harass, abuse, or harm others

7. Your Data

You retain ownership of all data you upload to the Service, including appraisal information, photos, and customer data. By using the Service, you grant us a limited license to store, process, and display your data as necessary to provide the Service.

You are responsible for ensuring that you have the right to upload and share any data through the Service, including customer personal information. You agree to comply with all applicable data protection and privacy laws in your jurisdiction.

8. Dealership Syncing

The dealership syncing feature allows you to share appraisal data with partner dealerships. By initiating or accepting a sync, you consent to sharing vehicle appraisal data (excluding customer contact information) with the connected dealership. Either party may disconnect the sync at any time.

9. AI Appraisal Features

The AI Appraisal feature provides market pricing estimates based on comparable vehicle data and market analysis. These estimates are provided for informational purposes only and should not be relied upon as the sole basis for pricing decisions.

We do not guarantee the accuracy, completeness, or reliability of AI-generated pricing data. You acknowledge that market conditions change rapidly and that AI estimates may not reflect current market conditions at the time of your appraisal.

10. Intellectual Property

The Service, including its design, code, features, and branding, is the intellectual property of Auto Leads Systems Ltd. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

11. Limitation of Liability

To the maximum extent permitted by law, Auto Leads Systems Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.

14. Changes to Terms

We may modify these Terms of Service at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.

15. Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Ontario, Canada.
